i am informed by my update engine to download and install XPs SP3.
i am however a little afraid...

is it okay to go for it?

I hear ya biren! I have a Compaq PC with an AMD processor and don't want to install this monster either! I just came from MGs and found this article posted there. Windows Service Pack Blocker Kit

If you wish to prevent users from installing Windows XP SP3 through Automatic Updates, Microsoft recommends you take one or more of the following steps:

1. Download and deploy the Windows Service Pack Blocker Kit. The Blocker Toolkit is available in the Microsoft Download Center.

2. Deploy an update management solution that provides full control over the updates you deploy to computers in your network (Compare Update Management Solutions). IT Administrators using an update management solution should use their product’s standard features, rather than the Blocker Toolkit, to control SP1 distribution.

I just got a new copy of windows xp pro with sp3 on it and i used it to re-install on a machine and it is working just fine;
Not like the downloadable version that was out a few months ago that caused so much trouble on my machine.

The major problem was actually due to a HP(maybe Compaq too) build which included drivers for both Intel and AMD. Others may have done the same. A "standard" install would only include the drivers for one or the other, not both. The SP worked fine in the standard case. The non-standard case has to be specifically built by an OEM or internal OT dept. or other expert. MS has since released a pre-SP3 fix to accommodate those specific non-standard builds.
